The ten corporate and legal documents, and which page explains each
Corporate files are assembled from a predictable set, and each document has its own page here because each is read by a different authority for different things:
- State registry extracts - the Georgian Public Registry extract and its foreign equivalents, the first document any registry, bank or counterparty asks for.
- Company charters and articles of association - the constitutional document, drafted bilingually for founders who sign what they can read.
- Shareholders' meeting minutes and resolutions - the decisions that authorize subsidiaries, directors, capital changes and transactions.
- Powers of attorney - the document that lets someone act for you across a border, drafted at our notary or translated from abroad.
- Contracts and agreements - bilingual drafting and translation with legal specialists, defined terms kept consistent and legal-system gaps flagged.
- Court rulings and arbitration awards - for recognition and enforcement across borders, under procedural deadlines and NDA.
- Financial statements and audit reports - translated by accountants, every figure reconciled, in IFRS and national terminology.
- Tax certificates, licenses and permits - tax residency certificates for treaty relief, licenses for regulated activities, permits for tenders and banks.
- Tender documentation, invoices and customs documents - bids translated within days of the notice, and the commercial and customs paperwork of every shipment.
- Certificates of conformity - CE, EAEU, ISO, halal and product certificates for customs, regulators and tenders.
Who reads corporate translations, and what each reader requires
The National Agency of Public Registry and the House of Justice register companies, branches, charters, directors and property on Georgian-language documents, and require notarized Georgian translations of every foreign document, with apostille or legalization on the originals. Foreign registries - Companies House, the Handelsregister, the Registro Imprese, the Registre du Commerce, the Central Registries of the Balkans, the SSM, ACRA and their counterparts - require the same of Georgian documents, often through their own sworn translators, which we arrange through partners using our text. Courts and arbitral tribunals require notarized translations of foreign judgments, awards and evidence, and read defined terms and procedural language with precision. Banks require translated corporate documents for account opening and compliance, and read them for beneficial ownership and source of funds. Tax authorities read tax residency certificates and financial statements for treaty relief and audits. Tender committees read qualification documents against published criteria and disqualify for formal defects. Customs reads invoices, certificates and permits against the declaration and holds shipments over discrepancies. Each page on this site tells you what the reader of that document checks.
Legal translation by legal specialists
Corporate and legal documents are translated here by translators who are lawyers, accountants or practitioners in the field, working with a second reviewer, and the difference shows in three places. Defined terms: a contract or a charter defines its terms, and we keep each one identical throughout the document and across every related document in the client's file, with a glossary maintained from the first project. Legal-system gaps: Georgian law has no exact equivalent for the German Prokura, the English trust, the French société par actions simplifiée's flexibility, the Chinese legal representative or the American LLC operating agreement, and Georgian concepts such as the notarial form for certain transactions have no equivalent abroad; our translators flag every such point with a note rather than papering over it with a plausible word, so that the lawyers on each side decide. Figures and identifiers: registration numbers, tax identification numbers, capital amounts, dates and financial figures are reproduced exactly and re-checked by a second reader, because a registry or a bank rejects a document over a single wrong digit.
Apostille, legalization and sworn translators abroad
Georgian corporate documents for use abroad - Public Registry extracts, charters, resolutions, powers of attorney, court decisions, tax certificates - are apostilled through the Ministry of Justice route (for notarial and court documents) or the relevant authority's route in one to three business days, and their translations are notarized and, where the receiving country asks, apostilled as well; for non-Hague destinations (the UAE, Qatar, Kuwait, Egypt, Vietnam, Thailand, Malaysia, Turkmenistan, China's Taiwan) we run consular legalization. Foreign corporate documents for Georgia are apostilled or legalized in the issuing country and translated into Georgian by a notarized translation here. Where a foreign registry, court or authority insists on its own sworn, authorized or court translators - Germany, Austria, Italy, Spain, Poland, the Czech Republic, Croatia, Serbia, Bosnia, North Macedonia, Brazil, Finland, Norway, Vietnam and others - we arrange re-certification through partner translators abroad using our text, which is faster and cheaper than a second translation and keeps the terminology consistent with the rest of the file.
Confidentiality, pricing and how projects run
Every translator, editor and courier is bound by a non-disclosure agreement, files are encrypted and access is limited to the assigned team; we sign client-specific NDAs and GDPR-compliant data processing agreements, and litigation and transaction files are handled with restricted access. Standard corporate documents - an extract, a resolution, a power of attorney, a tax certificate - are priced at fixed rates per document; contracts, charters, judgments, financial statements and tender files per page at the legal or financial tariff; notarization per act, apostille at the state fee plus handling, re-certification abroad at the partner's rate. A registry extract or a power of attorney is translated in 1-2 hours; a charter or a set of resolutions in one business day; a contract or a judgment in two to four; a tender file within days of the notice, staffed as a team.
Projects run in a fixed pattern: a fixed quote within the hour, a legal or financial specialist plus a reviewer, questions returned in a single batch, delivery in the original format, and notarization and apostille scheduled in parallel with translation. Framework agreements with monthly invoicing, priority notary slots and a dedicated team are available for law firms, accounting firms, banks, developers, logistics companies and corporate groups. To order, send the documents on WhatsApp, Telegram or email and tell us the receiving authority and country; bring originals to Agmashenebeli 117, near Marjanishvili Metro, for notarization and apostille, or courier them from any city.
