Registering a Georgian company with Japanese founders

A Japanese 株式会社 or 合同会社 founding a Georgian subsidiary, branch or representative office submits a Georgian translation of its 登記事項証明書 (履歴事項全部証明書, the company registry certificate from the Legal Affairs Bureau), 定款 (articles of incorporation), the 取締役会議事録 or 株主総会議事録 (board or shareholder minutes) approving the Georgian entity, a 委任状 if a local representative files, and the 印鑑証明書 evidencing the company seal; the registry certificate and seal certificate are apostilled by MOFA directly, while the 定款, minutes and 委任状 pass through a 公証役場 and the Legal Affairs Bureau first, and all are notarized in Tbilisi. Individual Japanese founders submit a translated passport. We draft the Georgian charter bilingually with a parallel Japanese column so the founder signs a text they can read, and we know the wording the National Agency of Public Registry expects for 資本金, 代表者 and 本店所在地. After registration, the Georgian Public Registry extract and charter are translated into Japanese for the parent, its bank and its 会計士.

JICA loan projects, technical cooperation and consultant contracts

JICA's ODA loans for Georgian roads, energy and water, and its technical cooperation projects, generate a distinct and voluminous body of documents: loan agreements and minutes of discussions with the Georgian government, consultant contracts with Japanese engineering firms, construction contracts under JICA's procurement guidelines, monitoring and progress reports, environmental and social safeguard documents, and the correspondence between JICA, the Japanese consultants and the Georgian implementing agencies. Most of this runs in English by JICA's rules, but the Japanese consultants' internal documentation, reports to Tokyo and communications with Japanese subcontractors are in Japanese, and the Georgian agencies' documents are in Georgian. We translate between Japanese, Georgian and English with translators familiar with JICA terminology and Georgian public sector language, provide interpreters for the meetings, and maintain project glossaries and translation memories across multi-year projects.

Contracts between Japanese and Georgian parties

Georgian law permits contracts in any language, but the Georgian version is what a registry or court reads, so cross-border contracts are drafted bilingually or trilingually with English. We translate 売買契約書 for property and equipment, 賃貸借契約書, 雇用契約書 for Japanese staff seconded to Georgia and Georgian staff of Japanese companies, 供給契約書 and 販売店契約書 for wine and food exporters and Japanese importers, 業務委託契約書 for consultants, 合弁契約書 and 株主間契約書, 金銭消費貸借契約書 and 保証契約書, 秘密保持契約書 and ライセンス契約書. The translator is a legal specialist who keeps defined terms and numbering consistent and flags where a Japanese concept - the 代表取締役's authority, 連帯保証 joint guarantees, 印紙 stamp duty formalities, Japanese Civil Code provisions carried into Georgian contracts - needs a lawyer's decision on the Georgian equivalent rather than a translator's guess. Japanese contracts are sealed rather than signed, and we annotate the seals and translate the 印鑑証明書 alongside.

Property, 委任状 and family matters

Japanese buyers of Georgian property generate a bilingual file: the sale agreement, the Public Registry extract, the cadastral plan, the developer's documents and, for investment residence permits, the valuation report and proof of funds, translated into Japanese for the buyer's records and into Georgian for the notary and registry. The 委任状 is the most frequent single document: a Japanese in Tokyo authorizing a representative in Tbilisi to buy, sell or manage property or to register a company, notarized at a 公証役場, certified by the Legal Affairs Bureau and apostilled by MOFA, then translated and notarized here. Family matters between Japanese and Georgian spouses - marriage contracts, divorce (which in Japan may be by agreement at the city hall or by family court), custody, inheritance of Georgian property by Japanese heirs or Japanese property by Georgian heirs - require koseki copies proving kinship, court decisions and inheritance documents translated and apostilled for the court or notary on the other side.

Court judgments, arbitration and enforcement

Japanese judgments in family, commercial and succession matters are recognized and enforced in Georgia through proceedings requiring notarized Georgian translations of the 判決書, the 確定証明書 (certificate of finality) and supporting documents, all apostilled through the court and MOFA. Georgian judgments and notarized loan deeds go the other way for recognition and 執行 in Japanese courts, translated into Japanese and apostilled, and often notarized in Japan at the court's request. Arbitration under the Japan Commercial Arbitration Association (JCAA), which Japanese companies often specify, the ICC or the Georgian International Arbitration Centre produces bilingual submissions, witness statements, expert reports and awards which we translate under procedural deadlines. Litigation files are handled under NDA with restricted access.

財務諸表, tax documents, confidentiality and how projects run

Georgian subsidiaries of Japanese groups report to head office under Japanese GAAP or IFRS, and Japanese investors present accounts to Georgian banks and the Revenue Service. We translate 財務諸表 (financial statements), 監査報告書 (audit reports), 居住者証明書 (tax residency certificates) for treaty relief under the Japan-Georgia tax convention, consumption tax documents, transfer pricing files and bank confirmation letters, with accountants on the team reconciling every figure and stating yen amounts exactly as the source does. Japanese companies bid on Georgian state tenders and JICA-financed procurements, and we translate tender documents within days of the notice.

Every translator, editor and courier is bound by a non-disclosure agreement, files are encrypted and access is limited to the assigned team; we sign client-specific NDAs and data processing terms compliant with Japan's Act on the Protection of Personal Information for Japanese clients. Corporate clients get a glossary and translation memory from their first project. A project runs in a fixed pattern: fixed quote within the hour, a legal or financial specialist plus a reviewer, questions returned in a single batch, delivery in the original format, and notarization and apostille scheduled in parallel with translation. Framework agreements with monthly invoicing and priority notary slots are available for Japanese companies, JICA consultants and contractors and law firms serving Japanese clients.

Japanese translation - frequently asked questions

Can a Japanese 株式会社 register a Georgian subsidiary without the 代表取締役 travelling?+
Yes. A 委任状 notarized at a 公証役場, certified by the Legal Affairs Bureau and apostilled by MOFA, together with the apostilled 登記事項証明書, 定款 and 印鑑証明書, is translated and notarized in Tbilisi, and a local representative registers the company at the House of Justice.
Which version of a bilingual Japanese-Georgian contract prevails?+
Whatever the language clause states, but if the contract is registered or enforced in Georgia, the Georgian text is what the registry or court reads. Have your Georgian lawyer review the Georgian version before signing.
Do you translate JICA project documentation?+
Yes. Loan agreements, consultant contracts, reports and safeguard documents are translated between Japanese, Georgian and English with a project glossary maintained across the project's life.
How do you handle sealed Japanese documents?+
We annotate the seals, translate the 印鑑証明書 alongside, and explain the seal system to Georgian notaries and registries, which accept sealed documents once the certificate is translated.
