Chinese Legal and Business Translation for Contractors, Investors and Traders Between Georgia and China

Chinese state contractors hold some of Georgia's largest infrastructure contracts, Chinese groups own hotels, mines and free industrial zones, and the Georgia-China free trade agreement moves wine, hazelnuts and ferroalloys one way and machinery and vehicles the other. We keep the Chinese and Georgian versions of their documents legally aligned, from the 营业执照 to the arbitration award.

Registering a Georgian company with Chinese founders

A Chinese company founding a Georgian subsidiary, branch or representative office - a contractor's project company, an investor's holding, a trading company for the FTA - submits a Georgian translation of its business license (营业执照, with the unified social credit code), its articles of association (公司章程), the board or shareholder resolution approving the Georgian entity, a certificate of incumbency or the legal representative's (法定代表人) identity documents, and a power of attorney (授权委托书) if a local representative files; each is attested in a notarial certificate by a 公证处, apostilled by the FAO, and notarized in Tbilisi. Hong Kong companies submit apostilled Certificates of Incorporation, Business Registration certificates and NNC1 or NAR1 forms. Individual Chinese founders submit a translated passport. We draft the Georgian charter bilingually with a parallel Chinese column so the founder signs a text they can read, and we know the wording the National Agency of Public Registry expects for 注册资本, 董事 and 注册地址, and how to render the legal representative concept, which Georgian law does not have, in a way the registry accepts. After registration, the Georgian Public Registry extract and charter are translated into Chinese for the parent, its bank and its auditors, and for the outbound investment filings (ODI) Chinese parents make with the NDRC, MOFCOM and SAFE.

Infrastructure: EPC, FIDIC, subcontracts and state tenders

Chinese contractors' work in Georgia generates a heavy body of contracts: the main contracts with the Roads Department and other employers under FIDIC conditions (Red, Yellow and Silver Books, and the Georgian state procurement contract formats), subcontracts with Georgian companies for earthworks, concrete, transport and supply, equipment leases, employment contracts for Chinese and Georgian staff, performance and advance payment guarantees from Chinese and Georgian banks, insurance policies, variation orders, claims and extension of time submissions, and correspondence with the engineer. We translate these between Chinese, Georgian and English with construction lawyers and engineers working together, keeping defined terms, clause references, bill of quantities items and technical schedules consistent across all three languages, and we maintain project glossaries across the years a highway section takes to build. Chinese companies bidding on Georgian state tenders through the e-procurement system need Georgian versions of qualification documents, experience certificates, financial statements and bid texts within days of the notice, and we staff these as a team.

Contracts between Chinese and Georgian parties, and the FTA

Georgian law permits contracts in any language, but the Georgian version is what a registry or court reads, so cross-border contracts are drafted bilingually, usually with English as the working language and Chinese and Georgian as the legal ones. We translate sale and purchase contracts (买卖合同) for goods, equipment and property, supply and distribution agreements, agency agreements, joint venture and shareholder agreements (合资合同, 股东协议), loan agreements and guarantees, lease agreements, employment contracts, confidentiality agreements, licensing and technology transfer agreements. The translator is a legal specialist who keeps defined terms and numbering consistent and flags where a Chinese concept - the 法定代表人, the company chop (公章) as the mark of corporate assent, 定金 versus 订金 deposits, the 违约金 liquidated damages regime - needs a lawyer's decision on the Georgian equivalent rather than a translator's guess. For trade under the Georgia-China FTA we translate certificates of origin, customs declarations, commercial invoices, packing lists, inspection and quarantine certificates (CIQ), phytosanitary and veterinary certificates, and GACC registration documents for Georgian food and wine exporters, with translators who know both customs systems' vocabulary.

Court judgments, arbitration and enforcement

Chinese court judgments (判决书) and civil mediation statements (调解书) in commercial, family and succession matters are recognized and enforced in Georgia through proceedings requiring notarized Georgian translations of the judgment, proof of its effectiveness and supporting documents, all apostilled; Georgian judgments go the other way for recognition by an intermediate people's court, translated into Chinese and apostilled, with the reciprocity question a Georgian lawyer and Chinese counsel assess. Arbitration under CIETAC, the Beijing Arbitration Commission, the Shanghai International Arbitration Center, the HKIAC, the ICC or the Georgian International Arbitration Centre - construction contracts commonly specify one of these - produces bilingual submissions, witness statements, expert reports, delay analyses and awards which we translate under procedural deadlines, often in large volumes with a team. Succession files - Chinese 继承权公证书 concerning Georgian property, and Georgian inheritance certificates for Chinese estates - are handled by the same team. Litigation files are handled under NDA with restricted access.

Financial statements, tax documents, banking and compliance

Georgian subsidiaries of Chinese groups report to head office under Chinese Accounting Standards or IFRS, and Chinese investors present accounts to Georgian banks, lenders and the Revenue Service; Georgian banks' compliance departments now ask Chinese clients for extensive documentation on source of funds and beneficial ownership. We translate audited financial statements (审计报告), balance sheets and income statements, annual reports, tax registration certificates and tax payment records, certificates of tax residency for treaty relief under the China-Georgia double taxation agreement, VAT and customs documents, transfer pricing documentation, bank confirmation letters, SAFE and ODI filings and beneficial ownership declarations, with accountants on the team reconciling every figure and rendering Chinese account names in the terminology Georgian accountants use.

Confidentiality and how projects run

Every translator, editor and courier is bound by a non-disclosure agreement, files are encrypted and access is limited to the assigned team; we sign client-specific NDAs and data processing terms aligned with China's Personal Information Protection Law for Chinese clients. Corporate clients receive a glossary and translation memory from the first project, which matters in this pair because Chinese legal and construction terminology has several possible Georgian renderings and consistency across a project's years is what makes claims and correspondence coherent. Projects run in a fixed pattern: fixed quote within the hour, a legal, construction or financial specialist plus a reviewer, questions returned in a single batch, delivery in the original format, and notarization and apostille scheduled in parallel with translation. Framework agreements with monthly invoicing, priority notary slots and on-site interpreter placements are available for Chinese contractors, investors and their Georgian partners, and for law firms serving Chinese clients.

Chinese translation - frequently asked questions

Can a Chinese company register a Georgian subsidiary without the legal representative travelling?+
Yes. A 授权委托书 attested by a 公证处 and apostilled by the FAO, with the apostilled business license and articles, is translated and notarized in Tbilisi, and a local representative registers the company at the House of Justice.
Do you translate FIDIC contracts and claims between Chinese, Georgian and English?+
Yes. Construction lawyers and engineers work together on main contracts, subcontracts, variations, claims and correspondence, with a project glossary maintained over the life of the project.
Which version of a bilingual Chinese-Georgian contract prevails?+
Whatever the language clause states, but if the contract is registered or enforced in Georgia, the Georgian text is what the registry or court reads. Have your Georgian lawyer review the Georgian version before signing, and remember that a Chinese company chop on the Chinese version is not by itself a Georgian signature.
Can you translate GACC and FTA documents for wine exports to China?+
Yes. Certificates of origin, inspection certificates, GACC registration documents and Chinese back-label content are translated by staff who know both customs systems.
