Registering a Georgian company with Portuguese or Brazilian founders
A Portuguese sociedade por quotas or sociedade anónima founding a Georgian subsidiary, branch or representative office submits a Georgian translation of its certidão permanente from the Registo Comercial (available online with an access code, which we can translate directly from the digital extract), its estatutos or contrato de sociedade, the ata approving the Georgian entity and a procuração if a local representative files; a Brazilian LTDA or S.A. submits its contrato social or estatuto social with the latest alterações, the certidão simplificada from the Junta Comercial and the CNPJ card. Portuguese documents are apostilled by the PGR, Brazilian ones at a cartório, and all are notarized in Tbilisi. Individual founders submit a translated passport or cartão de cidadão. We draft the Georgian charter bilingually with a parallel Portuguese column so the founder signs a text they can read, and we know the wording the National Agency of Public Registry expects for capital social, gerência and sede. After registration, the Georgian Public Registry extract and charter are translated into Portuguese for the parent, its bank and its contabilista certificado.
Contratos between Portuguese-speaking and Georgian parties
Georgian law permits contracts in any language, but the Georgian version is what a registry or court reads, so cross-border contracts are drafted bilingually, usually with English as the working language and Portuguese and Georgian as the legal ones. We translate contratos de compra e venda for property and equipment, contratos de arrendamento, contratos de trabalho for staff on either side (Georgian workers' contracts for Portuguese employers are among the most frequent), contratos de fornecimento and distribuição, contratos de prestação de serviços, acordos parassociais, contratos de mútuo and garantias, acordos de confidencialidade and contratos de franquia. The translator is a legal specialist who keeps defined terms and numbering consistent and flags where a Portuguese concept - the sinal in a contrato-promessa, the fiança, the Brazilian sociedade limitada's quotas, the distinction between gerente and administrador - needs a lawyer's decision on the Georgian equivalent rather than a translator's guess, and who uses the right variant: a Brazilian contract speaks of registro and CNPJ, a Portuguese one of registo and NIF.
Property in Portugal and Georgia, and the Georgian community's legal needs
Georgians in Portugal buy apartments and houses, open cafés, restaurants, construction firms and logistics companies, and increasingly need documents in both directions: Portuguese escrituras, contratos-promessa, certidões prediais and cadernetas prediais translated into Georgian for Georgian banks and family matters, and Georgian documents - powers of attorney to sell or manage property in Georgia, inheritance certificates, court decisions - translated into Portuguese for Portuguese notaries, the Finanças and the courts. Portuguese and Brazilian buyers of Georgian property use our notary for the sale contract with an interpreter and receive the Public Registry extract in Portuguese. Procurações are the most frequent single document: a Georgian in Lisbon signs one before a Portuguese notary or the Georgian consulate to authorize a relative in Tbilisi, or a Portuguese investor signs one for a Georgian lawyer, and in each case the apostille and the translation follow.
Court judgments, arbitration and enforcement
Portuguese and Brazilian sentenças and acórdãos in family, commercial and succession matters are recognized and enforced in Georgia through proceedings requiring notarized Georgian translations of the decision, the certidão de trânsito em julgado and supporting documents, all apostilled. Georgian judgments and notarized loan deeds go the other way for revisão e confirmação de sentença estrangeira at a Portuguese Tribunal da Relação or homologação at Brazil's Superior Tribunal de Justiça, translated and certified or juramentada as each requires. Arbitration under the Centro de Arbitragem Comercial in Lisbon, the CAM-CCBC in São Paulo, the ICC or the Georgian International Arbitration Centre produces bilingual submissions, witness statements, expert reports and awards which we translate under procedural deadlines. Succession files - Portuguese habilitações de herdeiros and Brazilian inventários concerning Georgian property, and Georgian inheritance certificates for Portuguese and Brazilian estates - are handled by the same team. Litigation files are handled under NDA with restricted access.
Exports to Angola and Mozambique, tenders and trade documentation
Georgian exporters of wine, mineral water, fertilizers, ferroalloys and construction materials to Angola and Mozambique, and importers of Angolan and Mozambican goods, need commercial invoices, packing lists, certificates of origin, certificates of conformity, phytosanitary certificates and contracts in Portuguese, and because neither country is a Hague member, many of these must be legalized through the consular chain, which we arrange. Angolan and Mozambican public tenders in energy, water, construction and health, and Portuguese and Brazilian tenders for Georgian suppliers, require translated qualification documents, financial statements and bid texts within days of the notice; Portuguese companies bidding on Georgian state tenders in renewable energy and construction need Georgian versions of theirs. We keep translators with export documentation experience on this work and produce Portuguese-language catalogs, product specifications and correspondence for the African markets.
Financial statements, tax documents, confidentiality and how projects run
Georgian subsidiaries of Portuguese and Brazilian groups report to head office under SNC, Brazilian GAAP or IFRS, and investors present accounts to Georgian banks and the Revenue Service. We translate demonstrações financeiras, balanços and demonstrações de resultados, relatórios de gestão, certificações legais de contas and pareceres de auditoria, certidões de residência fiscal for treaty relief under the Portugal-Georgia double taxation agreement, IVA and ICMS documents, transfer pricing documentation and bank confirmation letters, with accountants on the team reconciling every figure.
Every translator, editor and courier is bound by a non-disclosure agreement, files are encrypted and access is limited to the assigned team; we sign client-specific NDAs and GDPR-compliant data processing agreements for Portuguese clients and LGPD-aligned ones for Brazilian clients. Corporate clients receive a glossary and translation memory from the first project. Projects run in a fixed pattern: fixed quote within the hour, a legal or financial specialist plus a reviewer, questions returned in a single batch, delivery in the original format, and notarization, apostille and legalization scheduled in parallel with translation. Framework agreements with monthly invoicing and priority notary slots are available for Portuguese and Brazilian companies, Georgian exporters and law firms serving Portuguese-speaking clients.
